Summary/Abstract: The report explores the concepts of capital of a limited liability company. The legal framework, the legal doctrine and the caselaw on the issues raised are analyzed. The functions of capital of llc. are discussed. A definition of capital has been given and a comparative legal analysis has been made with German law.

A trademark is a mark that is able to distinguish the goods or services of one person from those of others and can be represented graphically. Such signs may take words, including the names of persons, letters, numbers, drawings, figures, the shape of the goods or their packaging, a combination of flowers, sound signs or any combination of these signs.
The right to a trademark is acquired through registration, as of the date of filing the application. The right of registration belongs to the first applicant and is an exclusive right. The exclusive right to the mark may be conferred on bona fide third parties from the date of publication of the registration in the Official Gazette of the Patent Office.
The validity of the registration is 10 years from the date of submission of the application. The registration can be renewed indefinitely for further periods of 10 years.
The registration of a national trademark is a long administrative procedure, which usually lasts about 6 months, if it does not go through optional stages. However, the protection is received from the date of filing the application for registration with the Patent Office.

According to Bulgarian law, a foreigner is allowed to establish a limited liability company (llc.) in Bulgaria. The establishment can be done remotely without the need for the founder to come to Bulgaria, which is possible by power of attorney.
Еstablished advantages of this company form:
- Can be registrated by one single owner or by two or more partners.
- The founders have limited liability for the obligations of the company.
- Тhe company can be established with a minimum capital of BGN 2 (EUR 1).
- Facilitated management and decision-making by the company’s bodies unlike a joint-stock company.
Based requirements:
It is necessary for the company to have an address in Bulgaria and to open an account in a Bulgarian bank to which to pay the selected amount of capital. It is also necessary that at least one manager of the company is elected.

Summary/Abstract: Subject of the study are the controversial issues in the doctrine and practice regarding the nature of the cause. The issue of the presence or absence of a cause in the so called „abstract transactions” is placed under discussion. The article also addresses a number of procedural issues, related to the presence of cause in the transactions in negotiable instruments. Furthermore the mandatory court practice related to the issues discussed has been researched and systematized.

Summary/Abstract: The purpose of the present article is to enlighten the term “cancellation” of a company share in a limited liability company on the ground of failure by the shareholder to pay its capital contribution. The article focuses on the legal nature, the conditions and legal effect of the cancellation of a company share in the LLC, which the author analyzes taking into account the applicable case law of the Supreme Court of Cassation and the legal theory.
